About Our Client:
Our client is a leader in the industrial/heavy equipment industry.
Position Scope:
The Contracts Manager ensures that all Power Systems contracts align with the company’s defined risk thresholds while enabling profitable growth. Acting as a critical bridge between Sales, Legal, and Project Delivery, this role partners closely with Sales throughout the negotiation process balancing commercial objectives with contractual risk while leading contract negotiations, governing risk through project execution, and developing scalable tools and processes to streamline contract review and decision-making.
Duties & Responsibilities:
Contract Negotiation & Pre-Award Risk Management
- In liaison with Sales and Project leadership, lead negotiation of Master Service Agreements (MSAs), Master Purchase Agreements (MPAs), and customer contracts.
- Review and mitigate contractual risk (liability, warranties, LDs, indemnities, performance guarantees).
- Support the broader sales organization by reviewing and advising on the majority of incoming customer contracts.
- Communicate key contractual risks and trade-offs to leadership to support commercial decision-making.
- Consider relevant regulatory and government requirements as part of contract review.
Post-Award Contract Governance & Project Support
- Ensure contractual obligations are actively managed during project execution.
- Work with Project Management to implement governance frameworks.
- Maintain visibility of obligations, risks, and remedies throughout the lifecycle.
- Support resolution of contractual issues or disputes during project execution.
Contract Process Optimization & AI Enablement
- Develop AI-enabled or database-driven contract review frameworks.
- Establish risk thresholds and standardized contract language libraries.
- Implement scalable “first-pass” contract risk screening tools.
- Use tool attached (Excel File) and review contracts for the risk elements identified in the tool and populate the tool accordingly to provide for an output that gauges the “Risk Index” out of 100.
Strategic Supply Chain Contracting
- Support negotiation of supplier MSAs and key partnerships.
- Strengthen supply chain resilience and reduce delivery risk.
Sales Training & Contract Risk Enablement
- Educate Sales and Sales Leadership on: Key contract terms, Risk identification, Negotiation fundamentals
- Improve frontline contract awareness to accelerate deal cycles.
Education and Experience:
- Bachelor’s degree in Engineering, Business Administration or Finance
- Minimum 5 years’ experience negotiating contract terms and managing contractual issues.
- Stakeholder management; experience collaborating with internal and external partners.
- Experience supporting project teams through contract governance and compliance.
- PMP, Supply Chain or Procurement Certifications considered an asset.
Required Skills and Knowledge:
- Understanding of contract management principles.
- Familiarity with Master Service Agreements (MSAs), Master Purchase Agreements (MPAs) and Framework Agreements.
- Knowledge of risk management and governance practices in project delivery.
- Knowledge of emissions laws, ITBs, and federal government specifications and bidding strategies.
- Working knowledge of the company’s Power Systems business operations.
- Understanding of insurance requirements and dispute resolution processes.
- Experience with ERP systems or contract lifecycle management tools.
- Certification in contract management.
